Deal Structuring and Development Finance

As a result of a more constrained lending environment the importance of maximising development finance options is critical, e.g.  forward funding and forward sale options.

Putting structures in place to maximise the potential of any development, both in terms of lot size and the provision of multi-ownership structures is key.

Similarly the documentation that falls out of such structures, such as co-ownership agreements, can have a significant impact on the marketability and value of both the element disposed and those retained.  

Bannon have been at the forefront of these structures over the past number of years. We had significant involvement in Ireland's most recent high profile forward sales (e.g. South King Street) and co-ownerships (e.g. Ilac Centre, Pavilions).

Past Experience

Bannon has handled the acquisition and sale of over €1.6 billion worth of investment property transactions over the past two years:
 
Forward Sale of retail portion of 35-45 South King Street, 2007-2008
Advised client and acted on their behalf with regard to the sale to Anglo Irish Assurance Company of three retail units let to H&M, Zara and Warehouse, which form part of the redevelopment of the former Eircom building.
 
Acquisition & Part Sub-Sale of the Pavilions Shopping Centre in Swords, 2006
Advised a client on the purchase of the existing Pavilions Shopping Centre and adjoining development site in what was the largest single property transaction in the state history.
Bannon subsequently disposed of a 50% interest in the existing centre to two institutional investors on behalf of their client.

Carlton Site - O’Connell St. Redevelopment, 2005-2008
Advised client in the acquisition of the various investment properties situated within the Carlton Site and have a key role within the design team advising on the overall design of the development suited to both the site and market.
